End User License Agreement

Important: Please read this End User License Agreement ("EULA") carefully before downloading or using the S4 desktop application. By installing or using the Software, you agree to be bound by this EULA.

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and 1573341 B.C. Ltd. (operating as S4mple) ("Company," "we," "us," or "our"), a British Columbia corporation (Incorporation Number: BC1573341), for the use of S4 desktop application software ("Software").

1. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install one copy of the Software on devices you own or control
  • Use the Software for your personal use (including professional development and work-related learning)
  • Create and store unlimited flashcards and notes locally on your device

This license does not grant you any rights to use the Software for commercial purposes, redistribute the Software, or provide the Software to third parties.

2. Restrictions

You may NOT:

  • Copy, modify, or distribute the Software or any portion thereof
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Rent, lease, lend, sell, sublicense, or otherwise transfer the Software to any third party
  • Use the Software to develop a competing product or service
  • Use the Software in any manner that violates applicable laws or regulations
  • Use automated scripts or bots to interact with the Software
  • Circumvent any technical measures designed to control access to the Software
  • Use the Software to transmit malware, viruses, or other harmful code

3. Ownership

The Software is licensed, not sold. 1573341 B.C. Ltd. retains all right, title, and interest in and to the Software, including all intellectual property rights therein. This EULA does not grant you any ownership rights in the Software.

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.

4. Local Data Storage

Your Data Stays Local: When using the Software without cloud sync, all your flashcards, notes, images, and other content are stored exclusively on your local device. We do not have access to this data.

You acknowledge and agree that:

  • You are solely responsible for backing up your locally-stored data
  • We are not responsible for any loss or corruption of local data
  • Uninstalling the Software may result in loss of locally-stored data
  • Cloud synchronization features, if used, are subject to our Privacy Policy

4.1 Data Location

By default, the Software stores your data in the following locations:

  • macOS: ~/Library/Application Support/s4mple

You may configure the Software to use a different storage location (your "vault" directory).

5. Updates and Modifications

We may release updates, patches, or new versions of the Software from time to time. These updates may:

  • Add new features or functionality
  • Fix bugs or security vulnerabilities
  • Modify or remove existing features
  • Change system requirements

5.1 Automatic Update Checks

When the Software checks for updates, it transmits the following information to our servers:

  • Current Software version number
  • Operating system type and version
  • System architecture (e.g., x64, arm64)

This information is used solely to determine if an update is available and compatible with your system. No personal data, account information, or flashcard content is transmitted during update checks. You may disable automatic update checks in the Software's settings.

Updated versions of the Software will be governed by this EULA unless a new EULA is provided.

6. Third-Party Components

The Software may include open source software components, each of which has its own license. A list of these components and their licenses is available in the Software's documentation and source repository.

Your use of third-party components is subject to their respective licenses. Nothing in this EULA limits your rights under, or grants you rights that supersede, the licenses of any open source components.

7. Export Compliance

The Software may be subject to Canadian export control laws and regulations, as well as export or import regulations in other countries. You agree not to export, re-export, or transfer the Software, directly or indirectly, to any country, entity, or person prohibited by applicable export laws.

You represent and warrant that:

  • You are not located in, under the control of, or a national or resident of any country subject to Canadian or international trade sanctions
  • You are not on any government list of prohibited or restricted parties
  • You will not use the Software for any purpose prohibited by applicable export laws

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SOFTWARE WILL MEET YOUR REQUIREMENTS
  • THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS FROM USING THE SOFTWARE WILL BE ACCURATE OR RELIABLE
  • ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 1573341 B.C. LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR USE OF THE SOFTWARE
  • DAMAGES RESULTING FROM ANY INTERRUPTION OR CESSATION OF THE SOFTWARE
  • DAMAGES RESULTING FROM LOSS OR CORRUPTION OF YOUR DATA

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any of its terms.

Upon termination:

  • You must cease all use of the Software
  • You must delete or destroy all copies of the Software in your possession
  • Sections 2, 3, 8, 9, 11, and 12 shall survive termination

You may terminate this EULA at any time by uninstalling and deleting all copies of the Software.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law provisions.

Any disputes arising from or related to this EULA shall be subject to the exclusive jurisdiction of the courts located in British Columbia, Canada.

12. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and 1573341 B.C. Ltd. regarding the Software and supersedes all prior agreements and understandings.

If any provision of this EULA is held to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.
